Welcome to ZIDI Mobility ("ZIDI", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of the ZIDI mobile app, website (www.zidimobility.co.ke), and related services (collectively, the "Platform").

By registering, accessing, or using ZIDI, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use immediately.

1. Definitions

For clarity in these Terms:

  • "User" means any person using the Platform, whether as a renter or vehicle owner.
  • "Renter" means a user who books or rents a vehicle listed on the Platform.
  • "Vehicle Owner" or "Owner" means a user who lists or offers their vehicle for rental through the Platform.
  • "Booking" means a confirmed reservation for a vehicle rental.
  • "Platform" refers to ZIDI’s website, app, and all related digital services.
  • "Service Fee" means any fee ZIDI charges to Users for use of the Platform.
  • "Security Deposit" means an amount held to cover possible damages, penalties, or unpaid fees.

2. Eligibility and Registration

  • You must be at least 23 years old and hold a valid Kenyan driver’s license to rent a vehicle.
  • By registering, you confirm all details you provide (including ID, license, and contact information) are accurate.
  • ZIDI reserves the right to verify your identity, driving record, and other credentials before or during service use.
  • Vehicle Owners must ensure their vehicles are insured, roadworthy, and legally owned or authorized for rental.

3. Platform Role

ZIDI provides an online marketplace connecting Renters and Vehicle Owners. We do not own, operate, or control the vehicles listed. Each rental agreement is between the Renter and the Vehicle Owner, and ZIDI acts solely as an intermediary and facilitator.

4. Booking and Payment Terms

  • Bookings are confirmed upon successful payment via approved methods (e.g., M-Pesa, card, or bank transfer).
  • Payments made are processed through secure gateways integrated into ZIDI’s systems.
  • All prices and fees are stated in Kenyan Shillings (KES) and include applicable taxes unless stated otherwise.
  • ZIDI may deduct Service Fees and any applicable taxes before remitting balances to Vehicle Owners.
  • Renters must ensure sufficient funds are available before initiating payment.
  • The Security Deposit (if required) will be held and released according to Section 6.

5. Use of Vehicles

Renters must:

  • Use vehicles only for lawful self-drive purposes within Kenya.
  • Comply with traffic laws and avoid reckless, negligent, or off-road driving.
  • Not sublet, resell, or use the vehicle for commercial hire, racing, or illegal activity.
  • Return the vehicle at the same fuel level and condition as received.
  • Immediately report any accident, damage, or mechanical issue to the Owner and ZIDI.

Owners must:

  • Provide vehicles in safe, roadworthy condition with valid insurance and inspection certificates.
  • Maintain accurate listing information and promptly update availability.

6. Damages, Liability, and Security Deposit

  • The Renter is responsible for any damage, loss, or traffic fines arising during the rental period.
  • ZIDI may deduct repair costs, penalties, or unpaid charges from the Security Deposit or through authorized payment methods.
  • If damage exceeds the deposit, the Renter remains liable for the balance.
  • Vehicle Owners must document any pre-existing damage before handover and report new damage with evidence (photos, estimates, etc.).
  • ZIDI is not liable for disputes arising from the condition, use, or performance of vehicles unless directly caused by ZIDI’s negligence.

7. Late Returns and Penalties

  • A penalty of KES 500 per hour applies for returns beyond the agreed time.
  • If a return delay results from breakdown or other justified cause, Renters must notify both the Owner and ZIDI immediately.
  • Extended delays exceeding 24 hours without communication may be treated as unauthorized possession and reported to authorities.

8. Cancellations and Refunds

By Renter:

  • Cancellations attract a KES 500 fee per day once a booking is confirmed.
  • No refunds for cancellations made within 24 hours of start time.
  • Refunds (after applicable fees) are processed within 5 business days.

By Owner:

  • If an Owner cancels after confirmation, the Renter receives a full refund and may be eligible for platform credits.
  • Repeated last-minute cancellations may result in account suspension.

9. Insurance and Risk

  • Owners must maintain comprehensive insurance coverage for their vehicles.
  • ZIDI shall not be responsible for accidents, injuries, or third-party claims arising during rentals.
  • Renters agree to assume all associated risks and responsibilities during the rental period.

10. Prohibited Conduct

Users must not:

  • Provide false information, impersonate others, or misuse personal data.
  • Tamper with vehicle trackers, safety systems, or registration plates.
  • Upload or transmit harmful software, spam, or malicious content.
  • Violate Kenyan laws, including traffic, environmental, and anti-fraud regulations.
  • Attempt to reverse engineer, scrape, or misuse the Platform.

11. Account Suspension and Termination

ZIDI may suspend or terminate a User account if:

  • Fraudulent, abusive, or unlawful activity is suspected.
  • Repeated cancellations, unpaid fees, or policy violations occur.
  • Required verifications or documents are not maintained.

Users may delete their accounts by contacting support, subject to settlement of pending obligations.

12. Intellectual Property

All rights in ZIDI’s brand, logo, website, app design, and content remain the property of ZIDI Mobility Ltd. Users may not copy, modify, distribute, or exploit any content without written consent.

13. Privacy and Data Protection

Your data is collected and processed according to the ZIDI Privacy Notice and the Data Protection Act, 2019 (Kenya). By using ZIDI, you consent to such collection, processing, and sharing of your data as described therein.

14. Limitation of Liability

To the fullest extent permitted by law:

  • ZIDI is not liable for indirect, incidental, or consequential losses.
  • Our total liability shall not exceed the total service fees paid to ZIDI for the transaction in question.
  • We do not guarantee uninterrupted or error-free operation of the Platform.

15. Indemnification

You agree to indemnify and hold harmless ZIDI, its officers, employees, and partners from any claims, damages, or losses resulting from:

  • Your breach of these Terms;
  • Your misuse of the Platform or vehicles;
  • Any third-party claim related to your use.

16. Force Majeure

ZIDI is not responsible for any failure or delay in performance caused by events beyond its reasonable control (including natural disasters, war, strikes, internet outages, or government restrictions).

17. Dispute Resolution and Governing Law

These Terms are governed by the laws of Kenya. In case of disputes, parties shall first attempt amicable resolution through negotiation or mediation. If unresolved, the dispute shall be submitted to the courts of Kenya with jurisdiction in Nairobi or any of the major cities in Kenya.

18. Amendments

ZIDI may revise these Terms from time to time. Updates will be posted on the website, and continued use after such notice constitutes acceptance of the revised Terms.

19. Severability and Entire Agreement

If any provision of these Terms is found invalid, the remaining provisions remain enforceable. These Terms, together with our Privacy Policy, form the entire agreement between you and ZIDI.
